(1) The initial letter of offer to purchase dated 10 December 2004 stipulated that the offer to purchase was open until Tuesday 14 December 2004. The four day period for acceptance was imposed in order to put some tight time frames around the transaction and prevent a long, drawn out negotiation over the Christmas and New Year period. As it transpired further negotiations did take place resulting in a subsequent letter of offer being made (letter dated 19 December 2004) that required acceptance by 20 December 2004. The tight time frame was imposed in order to conclude the transaction just prior to the Christmas and New Year break and at Kaleeya Private Hospital's (KPH) request. As KPH was still trading as a private hospital enterprise, a rapid negotiation and transaction process was requested by the owners. Any news that the KPH was to be sold would have had further negative impact on earnings. (2) 20 December 2004.
